Lowri Beck is a provider of field force services covering metering systems, data capture and field management to utilities and other businesses. This was a long standing client, with Andrew Baggott initially advising on the MBO of the business in 2002. We provided ongoing strategic advice and corporate finance advice to the business from the initial MBO and throughout its growth from £3m to over £80m turnover.
During this growth, we raised a number of rounds of development capital for the business, and were a key advisor in strategic decisions to enter new markets. Ultimately the process culminated in a disposal to Calisen, an internationally PE backed buyer in a complementary market.
After assessing a number of potential buyers and their offers and strategy, detailed negotiations were undertaken with the buyer, resulting in a significant increase on initial offer. Value negotiations continued throughout deal on all key value drivers. Our services also covered assistance during the Due Diligence process, supporting with negotiations of the legal documents, assistance with the completion accounts preparation and negotiation, and a focus on the best deal structure for our client.
